The terms of engagement.
These Terms & Conditions (“Terms”) govern your use of bluerun.studio and your engagement of Bluerun Studio LLC (“Bluerun Studio,” “we,” “our,” or “us”) for our services. By accessing this website or engaging our services, you agree to be bound by these Terms.
1. About us
Bluerun Studio LLC is a limited liability company registered in New Jersey, USA. We design and build custom landing pages on a fixed-fee, ninety-six-hour delivery model.
2. Services
The 96-Hour Launch Sprint (the “Sprint”) is a fixed-scope, fixed-fee service that includes the following deliverables, as described on bluerun.studio:
- A custom-coded single-page website (no template)
- Lead capture integration (booking, purchase flow, or downloadable)
- Platform-integrated email welcome sequence
- Sanity CMS setup for content editing
- Vercel hosting setup and configuration
- SEO and AEO optimization, including schema and
llms.txt - Mobile-first responsive build
- Two weeks of post-launch support
Services that are not listed above (additional pages, ongoing maintenance, custom integrations, paid advertising, brand identity, etc.) are not included in the Sprint and may be addressed in a separate engagement at additional cost.
3. Pricing and payment
The Sprint fee is $2,500 USD, billed as follows:
- Fifty percent ($1,250) non-refundable deposit due to confirm and schedule the Sprint
- Fifty percent ($1,250) balance due upon delivery of the completed site, before the site is transferred to the client’s environment
All payments are processed through Stripe. By submitting payment, you authorize Stripe to charge your selected payment method.
4. Timeline and client deliverables
The ninety-six-hour delivery commitment begins when both of the following have occurred:
- The kickoff session has been completed
- All required client deliverables — including brand assets, copy direction, domain access, hosting credentials, and any third-party integrations — have been received
If client deliverables are delayed, the ninety-six-hour window will be extended by an equivalent period. Bluerun Studio is not responsible for delays caused by missing or late client deliverables.
The client is responsible for providing:
- A clear creative direction or brand guidelines
- Final copy, or approved copy direction
- Logo and any required brand imagery
- Domain registrar access or DNS instructions
- Access to any third-party services to be integrated
- Timely review and feedback during the Sprint
5. Delivery commitment
If Bluerun Studio fails to deliver the completed site within the ninety-six-hour window due to Bluerun Studio’s own delay (not delays caused by client deliverables, third-party services, or events beyond reasonable control), Bluerun Studio will extend post-launch support to four weeks total at no additional charge. This extended support is the sole and exclusive remedy for a missed delivery window.
6. Refunds
The fifty percent deposit is non-refundable once the Sprint has been scheduled.
Once Sprint work has begun, no refunds will be issued. This includes situations where the client chooses to cancel the engagement, changes their mind about the project, or fails to provide required deliverables.
If the client cancels before kickoff, the deposit may be applied as a credit toward a future Sprint within twelve months. Credits are not transferable and cannot be redeemed for cash.
7. Scope and revisions
The Sprint includes one round of revisions within the initial agreed scope. Substantial changes to direction, additional features, or work outside the agreed scope are not included in the Sprint fee and may be quoted as a separate engagement.
8. Intellectual property
Upon receipt of the full Sprint fee, the client owns the final delivered website code and content as it appears at delivery, including any custom design assets created specifically for the project.
Bluerun Studio retains all rights to:
- Underlying methodologies, frameworks, processes, and know-how used to deliver the Sprint
- Reusable components, code snippets, and templates that exist independently of the client’s project
- The right to display the completed work in our portfolio, case studies, and marketing materials, including reasonable identification of the client and the project
Third-party services, platforms, and tools incorporated into the project (such as Sanity, Stripe, or Cal.com) remain the property of their respective owners and are governed by their own terms.
9. Client responsibilities
The client agrees to:
- Provide all required deliverables (brand assets, copy, access credentials) in a timely manner
- Review and respond to questions and revision requests during the Sprint promptly
- Hold all rights to any content, logos, images, or other materials provided to Bluerun Studio, and indemnify Bluerun Studio against claims that such materials infringe on third-party rights
- Make final payment promptly upon delivery
10. Warranties and disclaimers
Bluerun Studio will perform services with reasonable care and skill. We do not warrant that the website will be uninterrupted, error-free, or compatible with every browser, device, or future version of any third-party service.
Except as expressly stated in these Terms, services are provided “as is” without warranty of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, Bluerun Studio’s total liability arising out of or in connection with any engagement, whether in contract, tort, or otherwise, shall not exceed the total fees paid by the client to Bluerun Studio for that engagement.
In no event shall Bluerun Studio be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or lost data, even if advised of the possibility of such damages.
12. Indemnification
The client agrees to indemnify and hold harmless Bluerun Studio, its officers, and contractors against any claims, damages, or expenses arising from (a) content, materials, or instructions provided by the client, (b) the client’s use of the delivered website, or (c) the client’s breach of these Terms.
13. Confidentiality
Each party agrees to keep confidential any non-public business information shared during the engagement and to use such information solely for the purpose of delivering and receiving services under these Terms.
14. Termination
Either party may terminate an engagement before Sprint kickoff by written notice. In such cases, deposit credit terms apply as described in Section 6.
Bluerun Studio reserves the right to terminate an engagement, with no obligation to refund work already performed, if the client engages in abusive conduct, fails to make payment when due, or repeatedly fails to provide required deliverables.
15. Third-party services
The Sprint involves the use of third-party services including but not limited to Vercel, Sanity, Stripe, Cal.com, Plausible, and Google Workspace. The availability, terms, and pricing of these services are controlled by their respective providers, and Bluerun Studio is not responsible for changes, outages, or failures of these services.
16. Governing law and dispute resolution
These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or any engagement shall be resolved exclusively in the state or federal courts located in Bergen County, New Jersey, and both parties consent to the jurisdiction of those courts.
17. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date at the top reflects the most recent revision. Material changes will be communicated through a notice on the website. Continued use of our services after changes constitutes acceptance of the revised Terms.
